When Contracts Are Terminated and End
A contract constitutes a commitment to all the terms it contains between the two parties, and each party's acceptance of these terms. Contracts are rescinded and end in the following cases:
One of the conditions for rescinding a contract is that the contract be binding, which is one of the most important conditions that must be met, since a binding contract gives rise to reciprocal obligations on both parties, such as a sale contract, which places an obligation on the seller to deliver the sold item to the buyer free of any defects, in exchange for the buyer paying the full agreed price.
A breach by one of the parties to the contract of their obligations: a binding legal contract produces effects upon all the contracting parties as soon as it is concluded, and in the event of delay or breach by one of the parties in performing their obligations, the other party is entitled to request the rescission of the contract between them.
The party seeking to rescind the contract must be fully prepared to perform all their own obligations, since among the conditions required for rescinding a contract under Saudi law is that the party seeking rescission be able to perform the obligations imposed on them under the contract, or show their willingness to do so; conversely, if not, they may not claim rescission of the contract.
Rules on the Rescission of Contracts by Operation of Law under Saudi Law:
A contract may be rescinded by operation of law without any need for the parties to the contract to agree on rescission, or the contract may be rescinded by operation of law and by judicial ruling, but subject to certain conditions, namely:
The occurrence of a sudden circumstance or force majeure beyond the will of the parties to the contract, such as natural phenomena or a change in the currency's price in the financial market. In this case, the contract is rescinded by operation of law, and the rescission of the contract results in the lapse of all the obligations imposed on both parties to the contract, with the situation reverting to how it was before.
In the event of the destruction of the object of the contract, the object of the contract being the subject matter of the contract between the two parties; in the event of its destruction, whether external or internal destruction, the contract is rescinded.
